Terms and Conditions
These terms apply to this website and to the services and products of OUTDO INC.
outdoinc.com is owned and operated by OUTDO INC ("we", "us"), 35, 5th B Cross, 16th Main, BTM 2nd Stage, Bangalore, Karnataka, India 560076. Contact: hola@outdoinc.com.
1. What we offer
- Services: technology and app development, product development, UI and UX design, branding, e-commerce, SEO, digital marketing, creative retainers and team on hire.
- Products: software we build and sell, including Stackurity, a vulnerability and end-of-life management service. A product's own terms, published on its website, apply to it in addition to these terms; for Stackurity see stackurity.dev/terms.html. Where they differ, the product's terms apply.
2. Engagements
- Each service engagement is set out in a written proposal, quotation or statement of work that you accept. It states the scope, deliverables, timeline, fees and payment schedule. If it conflicts with these terms, the proposal applies.
- Changes to the scope are agreed in writing and may change the fees and timeline.
- You give us the content, access and decisions we need on time. Delays on your side may move the timeline.
3. Prices and payment
- Prices are as stated in the proposal, on the invoice or on the product's pricing page. Customers in India pay in Indian rupees plus GST where it applies; customers outside India are invoiced in the currency agreed, without GST.
- Payments can be made online through Razorpay, by card, UPI, net banking or other methods Razorpay offers, or by bank transfer. Card and UPI details are handled by Razorpay; we never see or store them.
- Invoices are due on the date shown on them. We may pause work on an engagement while a payment is overdue.
- Subscriptions renew automatically at the end of each period until they are cancelled.
4. Delivery
Our services and products are delivered online: files, code, designs, reports and access to software. Nothing physical is shipped. Delivery dates are those in the proposal; a product's access starts as described on its website.
5. Cancellation and refunds
6. Intellectual property
- When you have paid in full, you own the deliverables we made specifically for you under the engagement, unless the proposal says otherwise.
- We keep the rights to our own tools, code libraries, know-how and products, including Stackurity, and to anything we made before or outside the engagement. Where a deliverable includes them, you get a licence to use them as part of that deliverable.
- Unless you ask us not to, we may name you as a client and show the work in our portfolio.
7. Confidentiality
Each side keeps the other's non-public business information confidential and uses it only for the engagement, except where the law requires disclosure.
8. Acceptable use
You must not use our services or products for anything unlawful, to infringe others' rights, or to attack or gain access to systems you are not authorised to use.
9. Liability
- We do the work with reasonable skill and care. Apart from what these terms and the proposal say, services and products are provided without further warranties, to the extent the law allows.
- We are not liable for indirect or consequential loss, or for loss of profit, revenue, data or goodwill.
- Our total liability for an engagement or product is limited to the amount you paid us for it in the 12 months before the claim arose.
- Nothing in these terms limits liability that cannot be limited by law.
10. Changes to these terms
We may update these terms. The date below shows the latest version. Changes do not affect an engagement already agreed, unless both sides agree.
11. Law and disputes
These terms are governed by the laws of India. The courts at Bangalore, Karnataka, India, have exclusive jurisdiction. Before going to court, please write to us so that we can try to settle the matter.
12. Contact and grievances
For questions, complaints or grievances: hola@outdoinc.com, or by post to the address above. We acknowledge grievances within 48 hours and aim to resolve them within 30 days.
